Both forms of consolidation have become increasingly prevalent as companies seek to respond to competitive pressures, technological change, and globalization through inorganic growth strategies.

Strategic rationale drives the decision to pursue mergers or acquisitions, with companies typically seeking to achieve specific objectives through these transactions. Horizontal mergers combine competitors within the same industry, enabling market share expansion, economies of scale, and elimination of redundant operations. Due diligence constitutes the comprehensive investigative process that enables acquiring companies to assess the target business thoroughly before completing a transaction. Financial due diligence examines historical financial performance, the quality of earnings, working capital requirements, and financial projections. Legal due diligence identifies potential liabilities, litigation risks, regulatory compliance issues, and contractual obligations that could affect the transaction or post-acquisition operations. Commercial due diligence assesses market position, competitive dynamics, customer relationships, and growth prospects. Operational due diligence evaluates the quality of assets, manufacturing capabilities, technology infrastructure, and operational processes. Environmental, social, and governance due diligence has grown in importance as stakeholders increasingly focus on sustainability and ethical business practices.

Valuation methodologies enable determination of appropriate purchase prices for acquisition targets, though the inherent uncertainty about future performance makes valuation as much art as science. Discounted cash flow analysis estimates the present value of future cash flows the target is expected to generate, requiring assumptions about revenue growth, profit margins, capital expenditures, and the cost of capital. Comparable company analysis examines valuation multiples of similar publicly traded companies to derive benchmark values. Precedent transaction analysis considers prices paid in previous acquisitions of comparable companies. Asset-based valuation approaches focus on the fair market value of the target underlying assets, particularly relevant for capital-intensive businesses or companies with significant tangible assets. Sensitivity analysis testing different valuation assumptions helps identify the range of plausible values and the key drivers of valuation.

Transaction structures vary significantly based on strategic objectives, tax considerations, regulatory requirements, and risk allocation preferences.
